Terms of Service & End User License Agreement

1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the Staybase platform ("Service"), operated by Staybase ("we," "us," or "our"), registered in Poland. By accessing, registering for, or using the Service, you ("Customer," "User," or "You") agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
2. Description of Service
Staybase is a cloud-based Software as a Service (SaaS) platform designed for hotel operations management. The Service includes various modules (e.g., Housekeeping, Maintenance, Vault, Pulse). We reserve the right to modify, update, or discontinue certain features of the Service at any time without prior notice, provided such changes do not materially degrade the core functionality.
3. Free Trial and Subscriptions
3.1. Free Trial: Upon successful registration, you are granted a non-exclusive, non-transferable right to use the Service free of charge for an introductory period of up to six (6) consecutive months, as communicated at registration or in your individual offer. No credit card is required to initiate this trial.
3.2. Expiration: You will be notified via email thirty (30) days prior to the expiration of the trial period. To continue using the Service after the trial, you must enter into a paid subscription agreement. Failure to upgrade will result in the suspension of your account and scheduled deletion of data in accordance with our data retention policies.
4. Acceptable Use & User Obligations
You agree not to:
a) Reverse engineer, decompile, or disassemble any aspect of the Service.
b) Share user credentials or bypass our role-based access control (RBAC) mechanisms.
c) Use the Service to store or transmit malicious code, viruses, or unlawful material.
d) Resell, sublicense, or offer the Service to third parties outside of your registered hotel property without explicit written consent from Staybase.
5. Data Protection, Security & GDPR
5.1. Data Controller/Processor: In accordance with the GDPR, you remain the Data Controller of all operational and guest data entered into the system. Staybase acts solely as the Data Processor.
5.2. Security: We implement enterprise-grade security, including AES-256 at-rest encryption and SSL transit encryption. However, you are responsible for maintaining the confidentiality of your passwords and endpoints. For full details on our data handling practices, please refer to our Privacy Policy.
6. Intellectual Property
All rights, title, and interest in and to the Service, including its software, UI/UX design, underlying code, AI logic, and branding (Staybase), remain the exclusive property of Staybase. The Customer is granted only a limited, revocable right to use the Service.
7. Limitation of Liability
To the maximum extent permitted by applicable UK law, Staybase shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business interruption, arising out of or related to your use of the Service. The Service is provided "AS IS" without warranties of any kind, whether express or implied.
8. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
